Overview

For more than ten years, César Lechuga has developed his legal practice in the areas of corporate, real estate, infrastructure and financial law. His experience incorporates a broad spectrum of activities, from the design of complex corporate structures, the conceptualization and implementation of structured finance and corporate finance schemes, to the drafting, negotiation and implementation of contracts and agreements for real estate and infrastructure projects.

He has ample experience in corporate law where he has taken part in corporate governance, incorporations, mergers, demergers and acquisitions of all kinds of companies. As a complement to his corporate practice, he has vast experience with companies with foreign investment.

Regarding real estate, infrastructure and financial law, Cesar has focused mainly on the conceptualization, drafting and implementation of the adequate legal structures for the construction of real estate properties and infrastructure projects through trusts, special purpose vehicles or companies and the drafting and negotiation of the necessary contracts and agreements in order to implement said structures. His practice has led him to specialize in the purchase and sale of real estate assets of all kind and the drafting, negotiation and implementation of transfer of rights contracts (such as leases, usufruct and free loan), focusing mainly on the industrial, logistics, commercial, office space and retail sectors, as well as large plots of land (both belonging to ejidos and private), for wind and solar projects.

Additionally, he has focused on topics related to the corporate and structured financing of real estate and infrastructure projects, as well as the warranties required to obtain said financing. César has represented developers, constructors, banks and governments (both local and federal) for the implementation of infrastructure projects. He has also focused his practice on the design and drafting of concessions, licenses, permits and contracts regarding Public and Private Partnerships (PPPs) and public works projects.

Cesar obtained his master in laws degree (LLM) at Georgetown University in Washington DC, and is a founding member of Woodhouse Lorente Ludlow, S.C. Before joining WLL, he worked as a lawyer at Chadbourne & Parke, S.C., in Mexico City, within the Financial Law practice and the Energy, Infrastructure and Project Finance practice.
